Terms of Service

By accessing or using the United Agents platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and United Agents, Inc. ("Company," "we," "us," or "our"). Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

United Agents is an AI-powered lead generation platform that autonomously scans the web to find potential clients for your business. The Service includes:

• Autonomous AI lead scanning every 5 minutes using real-time web search
• Lead scoring, enrichment, and contact information extraction
• AI-generated outreach proposals and follow-up sequences
• Pipeline management, deal rooms, and client tracking tools
• Agent network features including referrals, lead exchange, and collaboration
• Analytics, reporting, and performance insights

The Service uses third-party AI models (including Anthropic's Claude) and search tools (including Tavily) to deliver its functionality. Results are AI-generated and should be reviewed for accuracy before use.

To access the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Ensuring your use of the Service complies with all applicable laws
• Verifying the accuracy of AI-generated content before using it in communications
• Complying with all laws governing outreach, marketing, and communications (including CAN-SPAM, TCPA, and GDPR where applicable)

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your business. One account per business entity unless otherwise agreed in writing.

Free Trial: New accounts receive a 3-day free trial. No credit card is required to start. During the trial, you may access limited features including up to 5 leads per day.

Paid Plans: After your trial, continued access requires a paid subscription:

• Starter Plan: $15/month for the first 3 months, then $29/month. Includes 1 agent, 50 leads/month, and core features.
• Pro Plan: $49/month for the first 3 months, then $79/month. Includes 1 agent, unlimited leads, and all features.

Billing Terms:

• Subscriptions are billed monthly in advance via Stripe
• Prices are in USD and exclude applicable taxes
• You authorize us to charge your payment method on a recurring basis
• Subscriptions automatically renew unless cancelled before the renewal date
• Refunds are not provided for partial billing periods, except where required by law

Cancellation: You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period. You retain access until then.

You may not use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Send spam, unsolicited communications, or engage in deceptive practices
• Scrape, copy, or redistribute any data obtained through the Service without authorization
• Attempt to bypass, hack, or interfere with the Service or its security measures
• Use the Service for any purpose that competes directly with United Agents without written consent
• Misrepresent your identity, business, or services to prospects contacted via leads from the Service
• Use AI-generated content to deceive or defraud clients
• Access the Service through automated means not authorized by us
• Store or share personal data obtained through the Service in violation of applicable privacy laws

We reserve the right to suspend or terminate accounts that violate these prohibitions at our sole discretion.

Our IP: United Agents, its platform, software, design, and all related intellectual property are owned by United Agents, Inc. and are protected by copyright, trademark, and other laws.

Your Content: You retain ownership of your business information, customizations, and any content you create using the Service. By using the Service, you grant us a limited license to use your content to provide and improve the Service.

AI-Generated Content: Proposals, outreach messages, and other AI-generated content produced through your use of the Service may be used by you for legitimate business purposes. We do not claim ownership of such outputs.

Lead Data: Lead information sourced through the Service is provided for your business use only. You may not resell, sublicense, or redistribute raw lead data obtained through the Service.

No Warranties: THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR LEAD WILL RESULT IN A CLIENT ENGAGEMENT.

AI Accuracy: AI-generated content, lead scores, and contact information may contain errors, be outdated, or be inaccurate. You are solely responsible for verifying information before acting on it.

No Revenue Guarantees: We make no representations or guarantees about leads found, revenue generated, or business results from using the Service.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITED AGENTS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include but are not limited to: violation of these Terms, non-payment, suspected fraudulent activity, or extended periods of inactivity.

Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination. After 30 days, we may delete your data in accordance with our data retention policy.

You may terminate your account at any time by contacting us at support@unitedagents.ai or through your account settings.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York. You consent to personal jurisdiction in these courts.

If any provision of these Terms is found to be unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
